Introduction Welcome to Vidya Card™, an educational, digital-learning, and community-empowerment platform operated by Ultimate Career (Registered Firm, Telangana, India) (“we,” “our,” “us”). By accessing, purchasing, or using any of our websites, mobile apps, learning portals, or digital services (collectively, “the Platform”), you (“Member,” “User,” or “Subscriber”) agree to be bound by this legally enforceable Terms and Conditions Agreement (“Agreement”). If you do not agree, please discontinue use of the Platform immediately. 2. Nature of Service Vidya Card™ provides members with access to: • Digital courses, learning modules, webinars, and certification programs; • An online community for knowledge-sharing and mentorship; • Digital identification and membership privileges enabling participation in learning and career activities. Membership is valid for one (1) year from the date of activation and must be renewed annually to continue receiving services and benefits. 3. Eligibility • Membership is open to individuals aged 13 years and above. • Minors (below 18) must obtain parental or guardian consent before registration. • By enrolling, you confirm that all details submitted are true, complete, and verifiable. 4. Account Creation and Responsibility • Each member must create a unique account using a verified email ID and mobile number. • You are solely responsible for maintaining the confidentiality of login credentials and for all activity conducted under your account. • Sharing, resale, or transfer of accounts is strictly prohibited and will result in permanent termination. 5. Membership Validity and Renewal • Each Vidya Card™ membership is valid for twelve (12) months. • Renewal reminders will be issued before expiry; failure to renew will suspend access. • Pricing and benefits for renewals may be revised without prior notice. • Expired members may reactivate accounts by completing renewal payment. 6. Payments and Fees • All payments are processed via authorized payment gateways integrated on www.vidyacard.com or www.ultimatecareer.in the Vidya Card App. • Fees are inclusive/exclusive of applicable GST and Government charges as notified. • Payments once made are non-refundable, except in cases of verified duplicate transactions. • Ultimate Career reserves the right to change membership or service pricing at any time. 7. Use of Services Members agree: • To use the Platform solely for lawful, educational, and self-development purposes; • Not to upload or distribute viruses, malicious code, or objectionable content; • Not to misrepresent identity, defame, or harass others within the community; • To comply with all applicable laws including the Information Technology Act 2000 and allied rules. Violation of these conditions may result in immediate suspension or legal action. 8. Intellectual Property Rights • All content, videos, images, design, software, and materials on the Platform are the exclusive intellectual property of Ultimate Career. • The name Vidya Card™, its logo, and associated visual identity are Trademark Applications (Word & Logo Mark) filed under Ultimate Career. • Unauthorized copying, distribution, modification, or resale of any material is strictly prohibited and punishable under the Copyright Act 1957 and Trade Marks Act 1999. 9. Training Content and Certification • Access to learning modules is subject to active membership status. • Certificates are issued digitally upon successful course completion; they attest to participation or skill acquisition but do not constitute a job guarantee. • The company reserves full discretion to add, modify, or discontinue courses at any time. 10. Data Protection and Privacy • Personal data collected during registration is used solely for account management, communication, and performance analytics. • We follow the Information Technology (Reasonable Security Practices and Procedures) Rules, 2011. • User data is stored on secure cloud servers with restricted access. • Ultimate Career never sells or rents member information to third parties. • For details, refer to our separate Privacy Policy page. 11. Communication & Marketing Consent By registering, members authorize Ultimate Career to send notifications, promotional messages, updates, and reminders via SMS, email, or WhatsApp. Members may opt out of marketing messages but will still receive essential account-related communication. • By registering for Vidya Card™ (including free, discounted, or regular memberships), users explicitly consent to receive official communication from Ultimate Career and its authorized partners through WhatsApp, email, SMS, in-app notifications, and the Vidya Card™ portal. • These communications may include information about new courses, learning events, discounts, collaboration programs, and educational updates. • Ultimate Career ensures that such communication will remain relevant to education, skills, or community development only, and members may opt out of promotional messages if desired. • Users understand that the Vidya Card™ program includes free, discounted, and exclusive paid courses, depending on program type and partner collaboration. • By continuing to use the platform, members acknowledge and accept that course pricing, offers, and collaborations are determined solely by Ultimate Career and its partner organizations. 12. Third-Party Links and Integrations The Platform may include links or integrations with external websites, learning tools, or payment gateways. Ultimate Career does not control or endorse these third-party entities and shall not be responsible for their content or policies. 13. Limitation of Liability To the maximum extent permitted by law: • Ultimate Career and its representatives shall not be liable for any indirect, incidental, or consequential damages arising from use or inability to use the Platform. • The total liability, if any, shall not exceed the amount paid for the current membership term. 14. Termination and Suspension Ultimate Career reserves the absolute right to: • Suspend or terminate access if a user breaches these Terms, engages in fraud, or damages the Platform’s integrity; • Delete inactive or fraudulent accounts after due notice. All decisions by Ultimate Career are final and binding. 15. Membership Communication & Course Offers 15.1. By applying for a Vidya Card™ membership — whether under a free campaign, special offer, or regular plan — every applicant authorizes Ultimate Career to communicate with them via WhatsApp, email, SMS, mobile notifications, and the Vidya Card Community Portal. 15.2. Members agree to receive updates, announcements, offers, and educational messages related to: - Courses, training programs, and live classes; - Career guidance, webinars, and workshops; - Membership renewal reminders, new feature updates, and partner institute offers. 15.3. Ultimate Career reserves the full right to share relevant educational or promotional information to members through its digital communication channels at its discretion. 15.4. The Vidya Card™ membership provides access to a variety of learning programs that may include: - Free Courses offered directly by Ultimate Career or associated trainers; - Discounted Courses provided in collaboration with external institutes or training partners; - Exclusive or Premium Courses available only to VIP or upgraded members. 15.5. Membership does not guarantee that all courses will be 100% free of cost. The pricing, duration, availability, and discounts are determined solely by Ultimate Career and its partner institutions. 15.6. Ultimate Career Institute may collaborate with multiple trainers, educational institutes, or academies across India to deliver the best learning experience to all Vidya Card™ members. Offers, course pricing, and delivery models may vary based on the institute’s policy and the nature of collaboration. 15.7. Members acknowledge and agree that Ultimate Career retains the absolute right to modify, update, or discontinue any offers, courses, or communication programs at any time without prior notice. 16. Amendments These Terms and Conditions may be updated periodically to reflect operational or legal changes. Revised versions will be posted on the website with the effective date. Continued use of the Platform constitutes acceptance of the updated terms. 17. Indemnification You agree to indemnify and hold harmless Ultimate Career, its partners, employees, and affiliates from any claims, damages, or expenses arising from misuse of the Platform or violation of this Agreement. 18. Force Majeure Ultimate Career shall not be liable for delay or failure in performance due to events beyond its control, including natural disasters, internet outages, government restrictions, or cyber-attacks. 19. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of India.
